Nominating and Governance committees play an important role in identifying individuals qualified to be board members, selecting/recommending board members to shareholders and developing a set of corporate guidelines for the board. Corporate guidelines are under increasing scrutiny as a result of a focus on ESG, diversity of the company employees at all levels and more recently, lawsuits to hold boards accountable for diversity at the board level. Explore the role of the Nominating and Governance committee with Nom & Gov Committee Chairs, how to be effective as a member and/or chair of the committee, topics discussed and the various stakeholders who are holding the Nominating and Governance accountable.

More Than Numbers: Financial Statements Every Board Member Should Know: Dec 7th

Time: 12:30-1:30 pm

No matter what board you sit on, every board member must possess a basic understanding of how to analyze financial statements to make decisions that satisfy his or her duty of care. The experts at EisnerAmper will walk you through how to evaluate decisions and direction of an organization effectively through reading the following information:

  • Statement of financial position (balance sheet)
  • Statement of activities (income statement)
  • Cash flow forecast
  • Actual results compared to budget
  • Operational figures (for example, cost per unit of service)
