Nominating and Governance committees play an important role in identifying individuals qualified to be board members, selecting/recommending board members to shareholders and developing a set of corporate guidelines for the board. Corporate guidelines are under increasing scrutiny as a result of a focus on ESG, diversity of the company employees at all levels and more recently, lawsuits to hold boards accountable for diversity at the board level. More Than Numbers: Financial Statements Every Board Member Should Know:Â
No matter what board you sit on, every board member must possess a basic understanding of how to analyze financial statements to make decisions that satisfy his or her duty of care.
