Janet Loduca is an accomplished C-suite level executive with a broad range of experience across legal, sustainability, environmental, regulatory, operations, corporate governance, restructuring, communications, and crisis management. She is a highly valued member of executive teams recognized for her exceptional leadership skills and executive agility. She brings to the boardroom ~30 years of experience helping companies and boards navigate complex, dynamic regulatory environments and manage disruptive change.


In 2020, Janet joined ~$6B revenue Pembina Pipeline Corporation in Calgary, AB as part of the succession plan for the Senior Vice President of External Affairs, where she is responsible for overseeing all aspects of legal, corporate governance, environment, land, regulatory, government and community affairs, Indigenous relations, safety, and sustainability.  While at Pembina, Janet led a number of strategic initiatives including:


o Sustainability Strategy: Oversaw the development of Pembina’s sustainability and energy transition strategy, including inaugural targets for GHG emissions intensity reduction and equity, diversity and inclusion.

o Mergers and Acquisitions / Project Development: Supported Pembina’s ~$3B acquisition of Alliance Pipeline and Aux Sable fractionation plant as well as the positive Financial Investment Decision for Cedar LNG, a partnership with the Haisla Nation and the first majority Indigenous-owned infrastructure project in Canada with one of the cleanest environmental profiles in the world.

o Leadership and Board Governance: Supported the board through a CEO transition and represented Pembina on the boards of Cedar LNG, the Alberta Carbon Grid, a carbon sequestration project with TC Energy, and Pembina US Corporation, a wholly owned subsidiary of Pembina Pipeline Corporation.


Prior to Pembina, Janet spent 20 years at ~$17B revenue Pacific Gas and Electric Company, where she held a wide range of senior roles including most recently General Counsel, and earlier Chief of Staff to the President, Vice President of Communications, Vice President of Safety, Health and Environment, and Vice President of Investor Relations. While at PG&E, Janet delivered high impact results including:


o Safety and Operations: Led the launch of an enterprise-wide safety culture program. Oversaw legal and environmental compliance and permitting strategies for ~175,000 miles of gas and electric transmission and distribution lines and ~7,700 megawatts of electric generation, including a revamped programmatic permitting strategy resulting in significant schedule and cost efficiencies.

o Litigation Strategy and Restructuring: Led the development and execution of the strategy to resolve $25B+ wildfire claims, including settlements with impacted individuals, insurers and cities and counties, to successfully emerge from Chapter 11.

o Board Governance: Onboarded and assimilated 14 newly appointed board members, including new CEO, following a threatened proxy fight.

o Investor Strategy: Stabilized investor confidence following a period of significant financial and regulatory uncertainty, including leading the development and roll-out of a multi-year financial outlook resulting in increased investment by targeted investors.


Prior to PG&E, Janet was an attorney at Beveridge & Diamond PC, an environmental law firm, where she represented Fortune 500 companies in environmental compliance and litigation. Janet began her career as an attorney for the U.S. Department of Justice Environmental Crimes Section in Washington, D.C. where she led criminal prosecutions of federal environmental laws.


Janet holds a J.D. from the University of San Francisco and a B.A. from the University of Washington in Seattle. She has been a member of the California Bar Association since 1993. She is currently on the board of directors for the non-profit Centre for Sexuality, including as a member of the governance committee, and was formerly on the board of directors for the non-profit Girls Inc. of Alameda County from 2000 – 2010, including as a member of the executive committee. She is a sought-after speaker on leadership and sustainability.
